Acceptance records the Host's agreement to these terms. It does not by itself enable live collection. VAULTmeet must separately activate the commercial workflow before a Host can collect entry fees through it.
1. Parties and incorporated terms
This Entry Fee Processing Addendum (“Addendum”) is between One More Try Software LLC, operator of VAULTmeet (“VAULTmeet”), and the organization whose authorized owner accepts it (“Host”). It supplements the VAULTmeet Terms of Service, Meet Host Agreement, and Payments and Refunds policy. If those documents conflict about a facilitated meet-entry payment, this Addendum controls for that payment.
2. Roles and payment provider
Host is the event provider and seller of each meet entry. Host sets the entry price, eligibility rules, registration decisions, event terms, withdrawal policy, and lawful refund policy, and remains responsible for delivering the event. VAULTmeet supplies marketplace software and facilitates payment through Stripe Connect. Stripe processes payment credentials and controls its account verification, payment-method availability, reserves, processing costs, and bank-payout timing.
Host authorizes VAULTmeet and Stripe to create charges, transfers, transfer reversals, refunds, and related ledger entries needed to carry out this Addendum. Host must maintain an eligible connected account and provide accurate identity, ownership, bank, and business information requested by Stripe.
3. Family charge and settlement
Checkout charges the family the entry price published by Host plus any tax that must be collected. Tax is not Host proceeds. For each completed eligible entry, VAULTmeet retains a platform fee equal to 4% of the entry-fee base, excluding separately stated tax. Stripe's actual payment-processing cost is also deducted from Host proceeds. Neither amount is added as a separate family surcharge under the current model.
Host receives the remaining proceeds after the platform fee, actual Stripe cost, refunds, reversals, disputes, reserves, and other authorized adjustments. Any estimated Stripe rate, combined cost, or Host net shown in the product is a planning estimate, not a promised rate or final settlement amount. Stripe records and the transaction-specific VAULTmeet ledger govern the final reconciliation.
4. Payouts, holds, and negative balances
Stripe determines when connected-account balances become available and when bank payouts arrive. Stripe or VAULTmeet may delay a transfer or payout when reasonably necessary for verification, suspected fraud, a refund, a dispute, a legal requirement, a provider restriction, or correction of an error. Host authorizes VAULTmeet to offset or reverse current or future Host proceeds to correct an overpayment or recover an amount Host owes under this Addendum, to the extent permitted by law and Stripe's tools.
5. Refund allocation
A completed full or partial entry refund reverses Host proceeds proportionally and returns the corresponding 4% platform fee to Host. If Host lawfully retains all or part of the entry fee under the refund or withdrawal policy shown before payment, VAULTmeet retains the corresponding 4% platform fee. Stripe decides whether its processing cost is returned. Under VAULTmeet's current settlement model, VAULTmeet absorbs the proportional Stripe cost that Stripe does not return for the portion successfully refunded; a later published version may change that treatment only prospectively after any required renewed acceptance.
6. Disputes, chargebacks, and fraud
Host will promptly provide event, registration, waiver, communication, attendance, refund-policy, and delivery evidence reasonably requested for a payment dispute. Because the facilitated charge is created on VAULTmeet's platform account, Stripe may debit the platform for a dispute, chargeback, or related provider fee. To the extent the debit concerns Host's event, conduct, description, refund decision, or failure to deliver, Host is economically responsible and authorizes VAULTmeet to reverse the related transfer or offset future Host proceeds. VAULTmeet is responsible to the extent the debit results solely from VAULTmeet's processing error or misconduct. Nothing here eliminates a consumer right or assigns liability where law does not permit it.
7. Marketplace tax
VAULTmeet is registered in Texas as a marketplace provider. For a facilitated marketplace transaction for which VAULTmeet is legally responsible, VAULTmeet will calculate, collect, report, and remit applicable marketplace tax. This paragraph is VAULTmeet's certification to Host for those Texas marketplace transactions. Host must provide accurate seller, event, location, price, and exemption information and retain supporting records. Host remains responsible for tax on transactions outside VAULTmeet's legally assigned marketplace duties and for its other tax, permit, reporting, and recordkeeping obligations. VAULTmeet does not state that every meet entry is taxable or exempt.
8. Records and reconciliation
VAULTmeet records available gross entry fees, tax, refunds, the platform fee, Stripe cost, transfers, reversals, and Host net. Stripe remains authoritative for provider charges, costs, disputes, connected-account balances, and bank payouts. Host must review Finance records promptly and report a suspected error with enough detail to investigate. Exports support reconciliation but do not replace Stripe, bank, accounting, or government records.
9. Host promises and prohibited use
Host promises that it will:
- Offer only lawful meet entries it is authorized and reasonably able to deliver.
- Publish accurate prices, dates, locations, eligibility rules, and refund terms before payment.
- Not use the payment workflow for cash advances, pass-through transfers, or unrelated goods or services.
- Not evade provider rules, taxes, sanctions, card-network rules, or applicable consumer law.
- Protect account access and notify VAULTmeet promptly of suspected fraud or unauthorized activity.
10. Suspension, termination, and survival
VAULTmeet may suspend facilitated collection or settlement for a provider restriction, legal requirement, security concern, material breach, suspected fraud, excessive disputes, or unresolved negative balance. Host may stop offering new facilitated entries, but existing refunds, disputes, tax, records, offsets, and settlement duties continue as needed. Ending VAULTmeet access does not cancel an amount already owed or a consumer obligation.
11. Changes and electronic acceptance
VAULTmeet may publish a new version prospectively. A material change to the 4% fee, allocation of Stripe costs, refund treatment, dispute responsibility, or marketplace role will be dated and presented for renewed owner acceptance when required. The acceptance record stores the organization, authorized account, policy version, addendum version, rate, and time. Selecting the owner certification and accepting electronically has the same effect as signing this Addendum.
